Note: This policy is provided as general information about how acquisition.law and Founders LLP handle your data. It is not a substitute for independent legal advice, and Founders LLP may update it from time to time as our practices, service providers, or applicable law change.

4. AI Processing and De-Identified Data Use

When you use our free LOI review tool, the text of your LOI is sent to a third-party AI service provider (currently Anthropic, the maker of Claude) solely to generate the general considerations shown to you. In accordance with that provider's standard commercial API terms, content submitted through the API is not used to train the provider's underlying models unless we separately agree otherwise. We encourage you to review that provider's own privacy and data usage policies directly if you have questions about how they handle data in transit.

By submitting an LOI or other information through our tools, you grant Founders LLP the right to use de-identified and aggregated information derived from your submission — meaning your name, contact details, counterparty names, and any other information that could reasonably identify you or the parties to your transaction have been removed — for purposes including improving our tools, internal analytics, benchmarking, training our team, and general business research. We do not publish or share de-identified data in a way that we reasonably believe could re-identify you or your transaction.

5. Confidentiality

We understand that LOIs and related deal information are sensitive and often confidential. We do not sell your personal information or the content of your submissions to third parties, and we do not share the content of your specific LOI publicly. Submissions are used only as described in this policy: to generate your review, to allow our team to follow up with you, and — in de-identified, aggregated form only — to improve our tools and practice.

Using this tool does not create a lawyer-client relationship with Founders LLP, and information you submit is not treated as privileged or protected by solicitor-client privilege unless and until you have formally engaged our firm.

We rely on third-party service providers to operate this site and our tools, including:

These providers process information on our behalf and are themselves subject to their own privacy and security practices. We select providers that maintain reasonable technical and organizational safeguards.

7. Data Retention

We retain submitted information, including LOI content, for as long as reasonably necessary to respond to your inquiry, maintain our business records, and support the purposes described in this policy, after which it may be deleted or retained only in de-identified, aggregated form. You may request earlier deletion of your personal information as described in Section 8 below.

8. Your Rights

Depending on your jurisdiction, you may have rights to access, correct, or request deletion of your personal information, or to withdraw consent to our use of it. To make such a request, contact us using the information in Section 11 below. We will respond in accordance with applicable privacy law, including Canadian federal and provincial privacy legislation where applicable.

We take reasonable technical and organizational measures to protect the information you provide. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.

10. Children's Privacy

Our site and tools are intended for business use by adults and are not directed at children. We do not knowingly collect personal information from children.
